1.1.‘patentedtechnology’meansthoseletterspatent,andapplicationstherefor

presentlyownedorhereafteracquiredbypartyband/orwhichpartybhasormayhavethe

rigttocontrolrantlicensethereofduringthetermhereofinanyorallcountries

oftheworldandwhichareapplicabletoormaybeusedinthemanufactureofcotract

products.

1.2.‘contractproducts’mianstheproductsdescribedinappendis2annexedhereto,

to-getherwithallimprovementsandmodificationsthereofordevelopmentswithrespect

1.3.‘pattya’means____________.orhislegalrepresentative,agentandinhetitortothepropertyofthepany.

article2scopeofthecontract

2.1.partyaagreestoacquirefrompartybandpartybagreestotransfertopartya 

2.2partybgrantspartyathenon-exclusiverighttodesignandmanufacture 

2.3partybshallberesponsibletoprovidepartyawithdocumentsrelevanttothe

2.7ifitisrequiredbypartya.pafrtybshallbeunderanobligationtoprovidepartyaatthemostfavourablepricewityparts,aessories,rawmaterials,fittings,

5.1technicglservice

5.1.lduringthevalidityperiodofthecontract,partybshallsendaspecialistto

5.1.2partybshalltwicesendit’sspecialiststopartya’sfactorytoprovlde

5.l.3thefirsttechnicalservicesha1lstartinthesixthmonthafterthecontrayt 

5.1.4thesecondtechnicalserviceshallstartduringtheverificationofthe 

5.1.5partybshall,foritsspecialists,beartheirtravellingexpensee.partha

5.2technicaltraining

5.21partybshalltrainpartya’stechnicalpersonnelsoastoenablethemto

masterpartyb’sdesign,performancetestandtechnologyinmachining,erectionandinspectionofthecontractedproducts,sothatpartyacanusethetechnicaldocuments 

5.2.2partyashallsendtwiceitstechnicalpersonneltopartyb’sfactoryfor 

5.2.3thefirsttrainingshallbefromthethirdtothefourthmonthafterthe 

5.2.4thesecondtrainingshallbefromtheeighthtothenihmonth.partyashall

sent4technicalpersonsandaninterpretertopartyb’sfactoryfortrainingfor160

workingdays/man(5daysperweek).thetrainingshallcoverthedesigning,the

manufacturingtechnology,erectionandadjustmentofthecontractedproducts.

5.2.5partyashallbearthetravellingexpensesofitstrainees;partybshall

providepartya’straineesfreeofchargewithboarding,lodgingandmeansof

conveyancefortravel-lingbetweenthelodgingplaceandthefactory.

article6technicaldocuments

6.1partybshall,aordingtothedeliveryscheduleanddetailsstpulatedin

appendix2tothecontract,deliverthedocumentsat________________.

6.2thedatestampedbytheairtransportationageneyat____________,shllbetaken

astheactualdateofdeliveryparytashallsendtopartybaphotostatcopyofthe

airconsignmentnoteshwingthestampdedateofarrival.

6.3withintwenty-fourhoursafterthedespatchofeachlotofthetechnicaldocumente,

partybshal1notifypartyabycableortelexofthecontractnumber,numberanddate

oftheairconsignmentnote,itemsofthedocuments,numberofpieces,airmailto

partyatwocopiesofeachoftheairconsignmentnoteanddetaikledlistofthe

technicaldocuments.

6.4ifthetechnicaldocumentsarefoumdlost,damagedormutilatedduringair

trans-portation,partybshallsupplypartyafreeofchargewithasecondlotof

documentswithinthechortestpossibletimebutnotlaterthanthirtydaysafterithas

receivedfrompartyathewrittennotice.withinsixtydaysafterpartyahasreceived

thedocumentsfrompartyb,ifpartyadoesnotdeclaretheshortageandrequestto

coverthesame,itisconsideredasa-cepted.

6.5thetechnicaldocumentsshallbeinenglishandbasedonmetricsystemof

measure-ments.

article7verificationandaeptance

7.1theverificationtestonthefirstsamplemachineofthecontractedproductshallbecarriedoutbythejointgroupconsistingofpartya’sandpartyb’srepresentatives

aordingtothescheduleandcontentsstipulatedinappendix7tothecontract.lfthe

performanceofthecontractedproductisinconformitywiththetechnicalspecifications

stipulatedinap-pendix1,suchtestshallbeconsidersdasqualifiedandthe

representativesofbothpartiesshllsigntheinspectionandtestingcertificateforthe

properperformanceofthecontractedproductinquadruplicate,2copiesforeachparty.

7.2iftheverificationtestdemonstratesthattheperformanceofthecontracted

prod-uctisnotinconformitywithprescribedtechnicalspecifications,bothparties

shall,throughamicablenegotiations,makeajointstudyofandanalysethecauseand

takemeasurestoe-liminatethedefectsandcarryoutasecondtest.whenthesecondtest

demonstuatesthatheperformanceisqualified,bothpartiesshallsignatesting

certificatefortheproperperfot-mance

7.3ifpartybisresponsibleforthefailureofthefirsttest,partybshallsend

atistownexpensetechnicalersonnelforthesecondtest.

7.4ifthesecondtestfailsagainandthefailureisattributedtopartyb,partyb

shallindemnifypartyaforanylossessustainedandshalltakeeffectivemeasuresto

eliminatethedefectsandcarryoutathirdtest.

7.5ifthethirdtestagainfails,andifpartybisresponsibleforthefailure,

partyahastherighttoterminatethecontractatitsdiscretionandlodgeclaimsasstipulatediharticle9.iftheresponsibilityforthefailurelieswithpartya,thetwo

partiesshallnegotiateastohowtofurtherimplementthecontract.

article8technicalimprovements

8.1ifthetechnicaldocumentsprovidedbypartybarenotapplicabletopartya’s

actualproductioncondidions(suchasdesignstandards,rawmaterials,purchasedparts

forthema-chine,productionfacilitie),partybisobligedtoassistpartyain

modifyingthetechnicaldocumentsandconfirmthesame.upontheconditionthatthe

propertiesofthecontractedproductsarenotaffected,rawmaterials,fittingsand

equipmintofchineseoriginmaybeused.

8.2duringthecurrencyofthecontract.ifeithetofthetwopartieseffetsimprove-

mentsonordevelopmentsoftheproductswithinthexcopestipulatedinthecontract,

thdsaidpartyshallsubmit,freeofcharge,totheotherpartythetechnological

informationcon-cernignsuchimprovementsordevelopments.

8.3theownershipofsuchimprovementsonordevelopmentsoftheontractedproduct

shallbelongtothepartywhohaseffectedsuchimprovementsordevelpments.theothe

parytshallnotapplyforpatentortransferthesametoanythirdarty.

article9guaranteesandclaims

9.1partybguaranteesthatthetechnicaldocumentstobesuppliedbypartybarethe

latesttechnicalinformationwhichhasbeenputintopracticalusebypartyb.partyb

alsoundertakestosupplytopartyaintimethetechnicalinformationrelevanttoanydevelop-mentoforimprovementonthecontractedproduct.

9.2partybguaranteesthatthetechnicaldocumentstobesuppliedbypartybare

-plete,correct,legibleandaretobedespatchedintime.

9.3ifthedocumentssuppiedbypartybarenotinconformitywiththestipulation

inarticle6,partybshall,withintheshortextpossibletimebutnotlaterthan3o

daysafterre-ceiptofpartya’swrittennotice,despatchfreeofchargetopartya

themissingorthecor-rcetandlegibletechnicalsocuments.

9.4ifpartybfailstodespatchthesaiddocumentswithinthestipulatedperiodas

perappendix2partybshallpaypenaltytopartyainthefollowingproportions:

(a)...percentofthetotalcontractpricefordelayfrom1to4weeks.

(b)...percentofthetotalcontractpricefordelayform5to8weeks.

(c)...percentofthetotalcontractpricefordelayexceedingweeks;

9.5thepaymentofpenaltiesbypartybtopartyaasstipulatedinarticle9shll

notrelevepartybofitsobligationtodeliverthesaiddocuments.

9.6wheneverthedelayindeliveringthesaiddocumentsexceeds6months,partya

shallbeentitledtoterminatethecontractatitsdiscretionandpartybshallbe

obligedtore-fundpartyaallitspaymentstogetherwiththecorrespondingingerest

attherateof...per-centperannum.

9.7iftheverificationtestsfailwiththeresponsibilitylyingwithpartybandif,astheresult,partyacannotstartnormalproductionwiththecontracthavingtobe

terminated,partybshallerfundallthepaymentspreviouslymadebypartyatopartyb

togetherwiththeinterestattherateof...percentperannum.

9.8ifonlysomeaspectsofthepropertiesoftheproductarenotuptothestandards

asstipulatedinthecontractandtheresponsibilitylieswithpartyb,partybshall

10.1alldrawings,designs,specificationsandallothertechnicalinformation

10.2lncaseanypart(s)oralloftheabove-mentionedtechnicalinformationhave

10.3aftertheterminationofthecontract,partyashallhavetherigbttouse

manufacture,use,andexportcontractproducts.

11.1partybguaranteesthatitisthelegitimateownerofthepatenttothe

11.2apletelistofpartyb’spatentsandpatentapplicationsrelevantto

12.1ailtaxes,customsdutiesandotherexcisesarisinginconnectionwiththe
